1. General Provisions
1.1 Acceptance of Terms
By accessing or using our services, including our website, platforms, consulting services, and executive search offerings, you agree to be bound by these Terms and Conditions. Specific terms for consulting or executive search engagements will be outlined in separate agreements and take precedence where applicable.
1.2 Definitions
In these Terms and Conditions:
- “TheZoo.London”, “we”, or “us” refers to TheZoo.London, including its consultant
collective, executive search services, and associated divisions. - “You” refers to the user, consultant, client, or candidate accessing or using our services.
2. Services
2.1 Registration and Consultant Pool
Consultants and candidates must register via the ‘Join Us’ or ‘Register’ form, providing accurate and up-to-date information. TheZoo.London maintains a talent pool for project assignments and executive search placements.
2.2 Client Brief and Evaluation
Clients provide project or role briefs through the ‘Brief Us’ form or via email to organise a meeting to discuss the brief. TheZoo.London collaborates with clients to refine briefs and identify suitable consultants or candidates from its talent pool and extended executive search network.
2.3 Selection and Engagement
Clients retain the final decision on consultant or candidate selection. TheZoo.London facilitates introductions, after which consultants or candidates engage directly with clients for project delivery or the hiring process.
2.4 Project and Placement Support
TheZoo.London conducts regular check-ins (approximately every two weeks) for consultancy projects to ensure satisfaction and performance. Permanent placements receive ongoing support, including onboarding and coaching during the probation period. Concerns will be promptly addressed.
3. Obligations and Liability
3.1 Accuracy of Information
TheZoo.London strives for accuracy but does not guarantee the completeness or timeliness of information provided by consultants, candidates, or clients. Users are responsible for the accuracy of the information they submit.
3.2 Notice Period for Changes
TheZoo.London reserves the right to reassign consultants or candidates with a minimum notice period of 5 working days, ensuring project or placement success. For full-time hires, clients must adhere to applicable contractual obligations.
3.3 Independent Relationships
TheZoo.London acts as an intermediary connecting clients with consultants or candidates. Consultants and candidates are not employees of TheZoo.London and operate independently.
3.4 Payment Terms
Payment terms are outlined in the applicable Statement of Work (SOW), Consultant Agreement, or Executive Search terms and must be adhered to by both parties.
3.5 Tax Compliance
Consultants and candidates are responsible for compliance with their tax obligations, including HMRC regulations. TheZoo.London is not liable for their tax affairs. For long-term placements, IR35 rules apply, and clients are responsible for deducting taxes and NICs.
3.6 Confidentiality and Data Protection
TheZoo.London complies with data protection laws and our Privacy Policy. We implement appropriate measures to safeguard data but cannot guarantee absolute security for electronically transmitted information.
4. Consultant, Candidate, and Client Obligations
4.1 Non-Circumvention
Clients and consultants introduced via TheZoo.London must not establish direct business relationships without a fee to TheZoo.London for 12 months.
4.2 Internal Collaboration
Consultants or candidates seeking to collaborate with others from TheZoo.London must channel briefs through TheZoo.London’s processes. Breaches may result in legal action.
4.3 Finder’s Fees for Consultants
Consultants introducing new briefs that lead to paid projects are eligible for a finder’s fee, as specified in the Consultant Agreement.
4.4 Finder’s Fees for Clients
Clients hiring consultants or candidates introduced by TheZoo.London within 12 months agree to pay a finder’s fee, as specified in the Client Agreement.
4.5 Marketing Permissions
TheZoo.London may request permission to feature client and consultant/candidate partnerships in marketing materials. Explicit consent will be obtained.
5. Regulatory Compliance
5.1 Compliance with Laws
TheZoo.London and users shall comply with the Agency Workers Regulations (AWR), Employment Agencies Standards (EAS), and health and safety regulations.
6. Termination
6.1 Termination Rights
TheZoo.London reserves the right to terminate or suspend services in cases of material breach, non-compliance, or other justifiable reasons. Where practicable, prior notice will be provided to minimize disruption. Such termination does not incur liability for resulting consequences.
6.2 Effect of Termination
Termination does not relieve users of obligations or liabilities accrued prior to the termination date.
7. Governing Law and Jurisdiction
7.1 Applicable Law
These Terms and Conditions are governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms and Conditions are subject to the exclusive jurisdiction of the courts of England and Wales.
